事實上,除了培生集團,新東方教育科技集團也一直在尋找并購良機。而北京銘師堂考試培訓學校和長春市同文高考培訓學校,便是新東方并購的得意手筆。另外對并購虎視眈眈的還有諾亞舟和正保教育集團以及巨人教育集團等。其中諾亞舟收購了博英教育,正保教育集團收購了英能培訓網、東方育才。
對此種種,美國中經合集團合伙人熊偉在2009(第二屆)中國教育產業(yè)創(chuàng)投發(fā)展時代峰會上甚至認為,2009年中國教育行業(yè)將迎來并購高峰,同時也會有更多細分領域中占據領先地位的發(fā)展期或擴張期教育企業(yè)獲得投資。
細分領先企業(yè)被看好
“不管怎么說,呈現出清晰可信的盈利模式始終是說服投資者的關鍵,這體現在靠并購擴張的企業(yè)更是如此。我覺得在這個方面各細分領域中的領先企業(yè)通常都做得相對不錯?！笨荚嚭徒逃展蘟ta公司的董事長馬肖風對《中國聯合商報》記者分析說。
綜觀投資界的幾次大手筆投資,在這方面的表現也可謂是淋漓盡致。“通過軟件和互聯網技術,將教育標準化,積累化。然后大建渠道,搭平臺,進行廣泛復制?！边@是英聯看好安博教育集團,也敢于斥1.03億美元巨資投資的重要原因。而正是有了這個好的贏利模式,安博集團通過并購,建立各地省級區(qū)域中心的行為才被認可。
最近斥資1.45億美元收購華爾街英語(中國)所有股權的培生集團也是這樣?！叭A爾街英語現在是國際高端英語教育培訓細分領域的品牌,華爾街英語(中國)也通過并夠在北京、上海、廣州和深圳等7個城市建立了39家培訓中心。它們的業(yè)績顯示,在2006至2008年間,華爾街英語(中國)年平均銷售額增長率超過40%,今年預計銷售額將達7000萬美元?！?/p>
“作為上市公司,我們也在尋找并購方面的投資機會。對并購項目來說,除了要有一個好的商業(yè)模式之外,我們也看重一些內容和它的服務,畢竟如果沒有好的內容,學員最終也不會接受。另外,在學習問題的時候能夠提供很好的幫助、完美的服務也最關鍵?！痹诩~交所上市的正保遠程教育集團副總裁郎元鵬如此向《中國聯合商報》記者表示。
對此,盛景網聯培訓集團董事長彭志強深有同感:“教育行業(yè)的市場化運作非常快,其中最重要的一個方式就是并購。目前我們已經投資了清華科技園、清華紫光等,并且也要擴大到二十個城市,未來要達到50個甚至100個,另外我們還要開發(fā)在線學習系統(tǒng),通過資本的紐帶和品牌的紐帶進行鏈接,從而走向品牌管理的規(guī)?；！?/p>
“精耕細作”是關鍵
作為“vc布道者”,智基創(chuàng)投總經理陳友忠認為金融危機下,教育企業(yè)并購經營更需要“精耕細作”。陳友忠在接受《中國聯合商報》記者采訪時透露:“智基與上海一家專注于幼兒軟技能培養(yǎng)的幼教機構已基本談妥投資條款,只待法律文件最后完成,本次投資規(guī)模為500萬美元?！?/p>
而搖籃網總裁高翔也向《中國聯合商報》記者透露:“我們正在完成從網絡媒體向嬰幼兒網絡教育轉型。為此我們還在探尋三歲幼兒上網的可能性?！?/p>
對此,學科網ceo陳學藝認為,并購后的精耕細作主要體現在兩個方面:一個是整合,另一個是創(chuàng)新?！艾F在中國有很多做教育的公司,在獲得了大筆的資金后,開始不停地并購。而并夠的方式就是‘大魚吃小魚,小魚吃蝦米’。這種情況下,創(chuàng)新就非常重要。這里的創(chuàng)新除了指公司并購后在形態(tài)上發(fā)生變化外,更重要的是要從各并購企業(yè)的內容上下功夫,至少得保證并購后企業(yè)品質不變。”
啟明創(chuàng)投副總裁黃濤對此表示關注:“很多教育企業(yè)在融到資以后,開始尋找并購機會,而后的管理往往跟不上。要知道管理是需要精細化的,說到底體現的是企業(yè)的核心競爭力,因此必須精心做好、做透。”
ezcapital的最新統(tǒng)計顯示,教育產業(yè)多個細分行業(yè)并購前景廣闊。從教育行業(yè)各細分市場融資金額來看,職業(yè)教育獲得投資金額最高,融資總額為7.82億元人民幣(約合1億美元),占教育培訓市場融資總額的48%。其次分別為教育投資4.85億元人民幣(約合6928萬美元)、學歷教育投資2.49億元人民幣(約合3550萬美元)。
■記者觀察:在“灰色地帶”游走
教育產業(yè)在中國經過十年的發(fā)展,已經極具投資潛力無可爭議。但這并不意味著教育產業(yè)的投資就沒有任何問題。
“我看教育投資有幾年的時間了,但一直沒有下單。很大一個原因是,目前很多民辦大學或者教育培訓機構,仍然處在一個法律的灰色地帶。比如國家的教育法,強調鼓勵民營資本進入,但是教育本質上仍被定義為一個非盈利機構?！遍_投基金合伙人陳洪武如此表示。
